School Annual Licence Terms and Conditions

Notes:

The terms ‘Study Smiles’, ‘us’, ‘we’ or ‘our’ refers to the company Study Smiles Ltd. The term ‘you’ refers to the purchaser, 'the School'.

 

By purchasing an Annual Licence for GCSE Statistics (Edexcel) educational resources published by Study Smiles Ltd, you agree to be bound by these Terms of Supply.

 

Contract

When you click to purchase the Annual Licence, in law you are offering to buy. Your contract with us is made only when we authorise you to access the service.

The contract between you and Study Smiles Ltd will consist of these terms and conditions, your payment and our verification.  You are advised to retain copies of these elements forming the contract between us.

​

Consumer rights and cancellation

All resources sold by Study Smiles Ltd are in digital format. This means that if you change your mind after purchase, you are not entitled to a refund as digital products do not fall within the ’14 day cooling off period’ under UK Law as you gain immediate access to the digital products.

​

However, we want you to be happy with any services or products you purchase from us. So, if you have an issue, please email info@studysmiles.co.uk and we will get back to you as soon as possible to try to resolve the issue.

User Licence

Permission is granted to access or use our products for educational purposes by licence. Any purchase is for the grant of a licence not a transfer of ownership.

​

Permission is granted to use our resources downloaded or accessed online through the Thinkific Platform for a period of one year from the date of purchase unless agreed to be extended. 

​

​You are permitted to:

  • retrieve and display the course content on a computer/mobile screen for teaching preparation or classroom use

  • download and store documents on computer, mobile or external data storage (such as USB flash drive) for school use and only for the length of time the School holds a valid Annual Licence.

  • print copies of the documents and share only with staff or pupils at the School only for the length of time the School holds a valid Annual Licence.

 

​​This is the grant of a licence, not a transfer of title.

​

​Under this licence you may not:

  • modify, reproduce or publish any of the course content or materials

  • use the materials for any commercial purpose

  • redistribute or share the materials with anyone outside the School, either digitally or by hard copy

  • remove any copyright from the materials

  • share your login details with any other party outside the School

  • permit or enable a third party to do any of these acts.

 

All content of our resources remains the Intellectual Property of Study Smiles Ltd.

 

This licence shall automatically terminate if you violate any of these restrictions and may be terminated by Study Smiles Ltd at any time.

​

Upon expiry of the Annual Licence or upon the termination of this licence, you must destroy any downloaded materials whether in electronic or printed format.  The School is not permitted to use any downloaded materials outside of a valid Annual Licence period.

​Disclaimer

The resources supplied by Study Smiles Ltd are provided on an ‘as is’ basis. Although every effort has been made to ensure the accuracy of our resources, they may include technical or typographical errors.  

Study Smiles Ltd does not warrant the accuracy, completeness or currency of our services and materials. If you do spot any errors, please let us know at info@studysmiles.co.uk and we will aim to rectify and provide corrected materials.

 

The content of the pages of our website, courses and products is subject to change without notice.

 

Warranties

We warrant that:

  • we will use reasonable skill and care in making our resources available to you and ensuring its availability to you for the period of the Annual Licence.

  • we have the right to permit you to use our resources in accordance with these terms and conditions.

 

We do not give any other warranties in relation to our resources. Specifically:

  • we do not warrant the accuracy, completeness or currency of our services and materials.

  • we do not warrant that our resources will be continuously available or that your use of our services will be uninterrupted or error free.

  • we do not warrant likely results or guarantee the achievement of specific grades for external exams.

  • we do not warrant that our resources will be free from infection by viruses or anything else with contaminating or destructive properties or that our services will be free from attack.

 

Study Smiles Ltd makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.  Accordingly, to the fullest extent permitted by law, we exclude all representations, warranties, conditions and other terms which but for these terms and conditions might have effect in relation to our resources and services.

 

Limitations

In no event shall Study Smiles Ltd be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use our resources or services.

 

Third-Party Links

The inclusion of any links within our resources or website, does not imply endorsement by Study Smiles Ltd of these sites. Use of any such linked third-party website is at the user’s own risk.

 

Changes to Terms and Conditions

Study Smiles reserves the right to amend the Terms and Conditions.
